Joann Dyroff is an experienced personal and business attorney with a diverse practice, including estate planning, probate and trust administration, business planning, entity creation and oversight, tax, charitable and nonprofit organizations, and pension and profit-sharing plans, including division of those plans in divorce. A primary focus of her practice is on consultation with individuals regarding estate planning matters, preparation of estate planning documents on behalf of individuals and families, and trust and probate administration. In addition, she works extensively in the preparation and review of Qualified Domestic Relations Orders, both on behalf of attorneys within the Firm and on behalf of other attorneys in the St. Louis area, as well as working with review and compliance matters for pension and profit sharing plans.

Ms. Dyroff works with a number of nonprofit organizations in the incorporation of nonprofit organizations and creation of charitable trusts, providing guidance on operational and management issues, preparation of applications for recognition of exemption under Section 501(c)(3), and consultation with IRS in the Section 501(c)(3) application process. She also serves as general counsel for several nonprofit entities.

Ms. Dyroff also handles incorporation and organization of business corporations and limited liability companies, preparation of shareholder agreements, by-laws, and operating agreements, and consultation with business owners concerning corporate and limited liability company issues. She provides guidance to regular and nonprofit corporations regarding ongoing operations and legal liability issues and provides business-focused legal support for small, medium, and large businesses and nonprofit corporations in areas including advertising, real estate, corporate governance, employment and benefits issues, and preparation and review of business contracts.

Ms. Dyroff also is an experienced tax attorney, providing review of tax issues and preparation of returns on behalf of individuals, estates, and trusts, and representation of individuals and entities before the IRS. She also prepares contracts on behalf of individuals, including preparation and review of prenuptial agreements.
