The Firm’s attorneys assist clients in the organization of non-profit entities, from the selection of the appropriate form of entity (including trusts and non-profit corporations), to the ongoing conduct of the non-profit activities of the client’s organization. Upon formation, we help clients complete all compliance requirements with the Internal Revenue Service and under applicable state law, including the filing and review with the Internal Revenue Service of the application for determination of a tax exempt status and the periodic filing required by non-profit entities to maintain that tax exempt status throughout their existence.

Our Firm is actively involved in representing not only public charities, but also private foundations and other tax exempt organizations such as churches, social clubs, and civic organizations. This involvement includes assistance with governance issues unique to non-profit entities, including board structure and membership, as well as the development of board policies on conflict of interests, whistleblower, and document retention and destruction.

Representation of charitable and non-profit organizations also involves advice to those entities regarding duties and responsibilities of directors, trustees, and officers, including issues of financial oversight, investment and endowment policies, and reasonable compensation.

While many of these areas are matters that are unique to charitable and non-profit organizations, we also assist these organizations in all of the other aspects of operation that they share with other businesses, including real estate sales, purchases and leases, business contracts of all types and kinds, intellectual property law issues, and employment law issues.
